1. Introduction and Agreement to Terms
These Terms and Conditions (the "Terms") set out the rights and obligations of SafeKept Ltd ("SafeKept", "we", "us", or "our") and any individual or organisation accessing or using the SafeKept platform, website at https://www.safekept.co.uk, and mobile application (collectively the "Services").
SafeKept Ltd is a company incorporated in England and Wales (Company No. 17227517) and is registered with the Information Commissioner's Office (ICO) under registration number ZC151459. Registered office: SafeKept, 124 City Road, London EC1V 2NX. To contact us: support@safekept.co.uk.
SafeKept is a secure digital estate management and bereavement notification platform. It enables individuals to store financial accounts, documents, and digital assets in an encrypted vault, and enables executors and professional partners to notify financial institutions, government bodies, and other organisations following the death of an account holder.
BY ACCESSING OR USING THE SERVICES, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICES.
2. Definitions
"Consumer" – An individual who uses the SafeKept Platform to store personal financial and estate information in the digital vault for their own estate planning purposes.
"Deceased" – The person whose death has been registered and in respect of whose estate a SafeKept estate case has been activated.
"Executor" – A person appointed or acting as executor, administrator, or personal representative of the Deceased's estate who has been granted access to manage and send estate notifications via SafeKept.
"Estate Case" – A case activated on the SafeKept Platform following the death of a Consumer.
"Vault" – The encrypted digital storage area where a Consumer stores financial accounts, documents, digital assets, and related information.
"Institution" – Any bank, building society, insurance company, pension provider, telecommunications provider, utility company, government body, subscription service, or other organisation to whom a notification is sent via SafeKept.
"Notification Letter" – A formal bereavement notification letter generated by SafeKept and dispatched to an Institution by post, email, or through the Death Notification Service.
"Death Notification Service" or "DNS" – The UK banking industry centralised service enabling a single notification to reach multiple member financial institutions simultaneously.
"Tell Us Once" – The UK government service enabling notification to multiple government departments following a death.
"Partner" – A professional organisation (including law firms, accountancy firms, funeral homes, and financial institutions) registered to use the SafeKept Partner Portal.
"Partner Portal" – The section of the SafeKept Platform accessible to Partners for the management of estate cases on behalf of clients.
"Subscription Plan" – The pricing tier selected by a Consumer or Partner.
"Contributions" – Any content, documents, vault entries, notes, or materials you upload or submit to the SafeKept Platform.
3. Eligibility, Account Registration, and User Representations
The Services are intended for users who are at least 18 years old. By using the Services you represent and warrant that:
- You are at least 18 years of age.
- You are resident in the United Kingdom or are acting as an Executor or Partner in respect of a UK estate.
- All registration information you submit is true, accurate, current, and complete.
- You have the legal capacity and authority to agree to these Terms.
- You will not use the Services for any illegal or unauthorised purpose.
- Your use of the Services will not violate any applicable law or regulation.
Professional organisations registering as Partners are subject to additional verification by SafeKept. Access to the Partner Portal will only be granted following successful verification, completion of a Data Processing Agreement where applicable, and payment of applicable fees.
4. Description of the SafeKept Services
- Generation of formal Notification Letters addressed to Institutions.
- Dispatch of Notification Letters by post via our Postal Dispatch Service.
- Submission of notifications via the Death Notification Service to DNS member financial institutions where applicable.
- Guidance on completion of the Tell Us Once service.
- Tracking of notification responses received from Institutions.
- Legal advice or probate services.
- Financial or investment advice.
- Acting as executor, administrator, or legal personal representative of any estate.
- Tax or accounting advice.
- Custody or control of any financial assets, funds, or cryptocurrency.
- Any guarantee that Institutions will accept or act upon Notification Letters.
- Any guarantee of delivery of postal Notification Letters by Royal Mail or any other carrier.
5. Intellectual Property Rights
We are the owner or licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos. Our Content and Marks are protected by copyright, trademark, and other intellectual property laws and treaties.
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and download or print a copy of any Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
You retain full ownership of all Contributions you upload or submit to the SafeKept Platform. By submitting Contributions you grant SafeKept a limited licence to store, process, and use that content solely for the purpose of providing the Services to you. We will not use your Contributions for any other purpose.
6. Purchases, Payment, and Subscriptions
- Starter Plan: Free of charge. Includes limited vault entries and basic features.
- Guardian Plan: Monthly or annual subscription as listed on the SafeKept pricing page.
- Estate Pro Plan: Monthly or annual subscription as listed on the SafeKept pricing page.
A one-off Executor access fee may apply where an Executor activates an Estate Case without a pre-existing paid Consumer subscription.
- Law Firms: A per-case fee is charged upon creation of each Estate Case. A valid payment method must be stored on file before any Estate Case may be created.
- Accountancy Firms: A monthly subscription fee applies as agreed at registration.
- Funeral Homes: Access to the Partner Portal is provided free of charge. Funeral homes earn a referral commission for each consumer they refer who activates an Estate Case, as agreed in the applicable Partner Agreement.
- Banks and Financial Institutions: Enterprise pricing applies, agreed individually. Contact partners@safekept.co.uk for details.
7. Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services you agree not to:
- Systematically retrieve data or content from the Services to create a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
- Circumvent, disable, or otherwise interfere with security-related features of the Services.
- Use any information obtained from the Services to harass, abuse, or harm another person.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Upload or transmit viruses or other harmful material that interferes with any party's use of the Services.
- Engage in any automated use of the system, including scripts, robots, scrapers, or data mining tools.
- Attempt to impersonate another user or person or use the username of another user.
- Use the Services as part of any effort to compete with us or for any revenue-generating endeavour not expressly permitted by these Terms.
- Submit false, fraudulent, or unauthorised death notifications.
- Impersonate any executor, personal representative, or professional adviser.
- Upload or store information about a living person without their consent as if they were deceased.
- Use the platform to access any deceased person's estate without lawful authority.
8. Vault Storage – Important Limitations
9. Executor Access and Estate Activation
A Consumer may invite one or more individuals to act as their executor on the SafeKept Platform. Invited executors will receive access to the Consumer's Vault data and estate management tools only following activation of an Estate Case.
Estate Cases may only be activated following verified death of the Consumer. SafeKept requires submission of a death certificate or equivalent evidence before an Estate Case is made fully active.
By activating an Estate Case and using the SafeKept Platform as an Executor, you represent and warrant that:
- You are the named executor, administrator, or personal representative of the Deceased's estate, or are duly authorised to act in that capacity.
- All information you provide about the Deceased is accurate and complete to the best of your knowledge.
- You have the legal authority to instruct SafeKept to send Notification Letters on behalf of the estate.
- You understand that SafeKept is acting solely as an administrative tool and is not a party to any communication between you and any Institution.
10. Postal Dispatch and Delivery
SafeKept uses a third-party Postal Dispatch Service to print and post Notification Letters on behalf of Users. Dispatch is typically processed within one to two business days of your request.
SafeKept accepts no responsibility for the non-delivery, delayed delivery, loss, or damage of any Notification Letter once it has been accepted for dispatch by our Postal Dispatch Service. Delivery of all postal letters is the sole responsibility of Royal Mail or such other postal carrier as may be used by our Postal Dispatch Service.
You are responsible for ensuring that Institution address details provided in your Estate Case are correct. If you receive a returned or undeliverable letter please notify us at support@safekept.co.uk.
11. Institutions, Third Parties, and External Websites
12. SMS Text Messaging
By opting into SMS text messaging on the SafeKept Platform, you expressly consent to receive text messages (SMS) to your mobile number. SafeKept SMS messages may include: account alerts, security verification codes (two-factor authentication), and estate case status notifications.
You may opt out of SMS messages at any time via the Settings section of your account under notification preferences, or by replying STOP to any SMS message.
Message and data rates may apply. If you have questions about your text plan or data plan, contact your wireless provider.
13. Data Protection, Privacy, and User Data
SafeKept processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how we collect, use, store, and protect your personal data are set out in our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.
The SafeKept Platform involves processing of sensitive personal data including financial account details and credentials, information about deceased persons, National Insurance numbers, identification documents, and cryptocurrency seed phrases and private keys. All sensitive data is encrypted at the application layer using AES-256-GCM encryption before being stored in our database.
You are responsible for ensuring that you have the legal basis and any necessary consents to upload and process personal data about third parties (including the Deceased) using the SafeKept Platform.
14. Disclaimers
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms excludes or limits SafeKept's liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SAFEKEPT SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
To the fullest extent permitted by law, SafeKept shall not be liable for:
- Any loss arising from the failure of any Institution to process or act upon a Notification Letter.
- Any loss arising from the non-delivery, delayed delivery, or misdelivery of any postal Notification Letter.
- Any loss arising from the failure, delay, or error of any third-party service including Stripe, the Death Notification Service, Royal Mail, or our Postal Dispatch Service.
- Any loss of, or inability to access, cryptocurrency or digital assets, including any loss arising from an incorrectly stored or unrecoverable seed phrase.
- Any loss arising from your failure to update, correct, or verify information stored in your Vault.
- Any loss of data, profits, sales, business, revenue, opportunity, goodwill, or reputation.
Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the twelve (12) month period prior to any cause of action arising.
16. Indemnification
You agree to defend, indemnify, and hold harmless SafeKept Ltd and its directors, officers, employees, agents, partners, and affiliates from and against any loss, damage, liability, claim, or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of:
- Your Contributions.
- Your use of the Services.
- Your breach of these Terms.
- Your violation of the rights of a third party, including but not limited to intellectual property rights.
- Any false, inaccurate, or misleading information you provide to SafeKept or to any Institution through the SafeKept Platform.
17. Term and Termination
You may close your SafeKept account at any time by contacting support@safekept.co.uk or using the account deletion feature in your account Settings.
We reserve the right, in our sole discretion and without notice or liability, to deny access to the Services to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation. We may terminate your account without warning if you have provided false or misleading information to SafeKept, if we are required to do so by law, or if we discontinue the SafeKept Platform.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account without our express written permission.
18. SafeKept Is Not Acting as Executor or Legal Personal Representative
SafeKept is an administrative tool only. SafeKept does not act as executor, administrator, trustee, or legal personal representative of any estate at any time. SafeKept does not provide legal advice, probate services, or estate administration services. All legal obligations in respect of any estate remain solely with the appointed executor or personal representative and, where applicable, with any professional advisers they have engaged. Nothing in these Terms or in the SafeKept platform creates any agency relationship between SafeKept and any executor, beneficiary, institution, or third party.
19. Governing Law
These Terms are governed by and interpreted in accordance with the laws of England and Wales. SafeKept Ltd and yourself both agree to submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising out of or in connection with these Terms.
20. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, we encourage you to contact us first at support@safekept.co.uk to attempt to resolve the dispute informally within 30 days of being contacted.
If informal negotiation does not resolve the matter, the dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
